STANDARD TERMS AND CONDITIONS OF SALE
You should update this document to reflect your T&C.
Below text serves as a suggestion and doesn’t engage Odoo S.A. responsibility.
- The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
- Our invoices are due within 21 business days, unless a different payment timeframe is indicated on the invoice or order. In the event of non-payment by the due date, my company reserves the right to charge a fixed interest of 10% on the remaining amount due. My company will be entitled to suspend any provision of services without prior notice in the event of payment delays.
- If there is a payment due more than sixty (60) days after the due date, my company reserves the right to engage the services of a debt collection agency. All legal expenses will be the responsibility of the client.
- Some countries apply a withholding tax on the amount of invoices, according to their internal regulations. Any withholding tax will be paid by the client to the tax authorities. Under no circumstances can my company be involved in costs related to the regulations of any country. Therefore, the full amount due on the invoice will be owed to my company and will not include any costs related to the regulations of the country where the client is located.
- My company commits to making every effort to provide effective services in a timely manner according to the agreed-upon timelines. However, none of its commitments can be considered a guarantee of results. Under no circumstances can my company be required to appear as a third party in the context of any claims for compensation made against the client by an end consumer.
- To be accepted, any claim must be communicated to my company by a letter sent via registered mail to its registered office within 8 days of the delivery of goods or the provision of services.
- All our contractual relations will be governed exclusively by United States law.
